Portfolios holding more than one instrument type are assessed on a blended basis. A concentrated position (single counter > 40% of portfolio value) may attract a lower advance rate. LTV figures are indicative and subject to credit-committee approval. Interest is serviced monthly; capital is repaid at term end.

The Mechanics

How the security actually works

We take a pledge and cession over your portfolio — not ownership. Your shares stay in your account, in your name, at your broker.

Your shares stay in your account

We instruct your CSDP or broker to flag the portfolio as pledged. The flag prevents sale or transfer without our consent, but dividends, corporate actions and voting rights remain yours throughout the loan term.

The pledge is registered under section 39(3) of the Financial Markets Act. It is released the day your capital is repaid — same day if payment clears before 14:00.

You continue to receive dividends. If a dividend is declared during the loan term, it is paid into your account as usual. We do not divert income.

Selling triggers tax. Pledging does not.

A sale of listed securities is a disposal for capital-gains-tax purposes. A pledge is not. Paragraph 11(2)(a) of the Eighth Schedule to the Income Tax Act is clear: no change of ownership, no disposal, no CGT event.

This is the primary reason clients choose to borrow against a portfolio rather than liquidate it — especially where unrealised gains are significant or where the holding qualifies for the annual exclusion.

This is general information, not tax advice. Consult your tax adviser for guidance specific to your circumstances.

Headroom

How far your portfolio can fall before anything happens.

−23%
Average soft-call buffer. Your portfolio can fall this far below its pledge value before we make contact.
−27%
Average hard-call trigger. At this level you have 3 business days to top up collateral or reduce the loan.
−43%
Average liquidation trigger. We may sell enough shares to restore the LTV ratio — but only after the hard-call window expires.
3 days
Hard-call window. You always have at least three business days to act before any forced sale.

Worked example: a R1 m Top 40 portfolio pledged at 60% LTV produces a R600 k advance. The soft-call level is R780 k (−22%), the hard-call level is R720 k (−28%), and the liquidation trigger is R570 k (−43%). These thresholds are set at drawdown, published in your facility letter, and do not change during the term.

Eligibility

Who qualifies for a loan against securities

01

South African residents and entities

Individuals, trusts, companies and close corporations registered in South Africa. Non-residents considered on a case-by-case basis where the portfolio is held at a local CSDP.

02

Portfolio held at a recognised CSDP or broker

Your securities must be held in a CSDP account (Strate) or at a JSE-member broker. We work with all major custodians.

03

Minimum portfolio value R500,000

The pledged portfolio must be worth at least R500,000 at the time of application. We advance from R250,000.

04

No sequestration, business rescue or judgments

Applicants must not be under sequestration, in business rescue, or subject to unsatisfied court judgments exceeding R50,000.

The Process

From portfolio statement to funds

STEP 01

Send us your portfolio statement

Upload or email a recent statement from your CSDP or broker. We need the instrument names, ISIN codes and quantities.

STEP 02

We value and structure

Our team prices each instrument at the current market, applies the appropriate LTV, and sends you a facility letter within hours.

STEP 03

Sign and pledge

You sign the facility letter and we instruct your CSDP to flag the portfolio. No share certificates change hands.

STEP 04

Funds in your account

Once the pledge is confirmed, we transfer the advance to your nominated bank account — typically same day if signed before noon.

Questions

Frequently Asked Questions

Do I lose my dividends while the loan is active? +

No. Dividends continue to be paid into your account as usual. The pledge does not divert income — it only restricts sale or transfer of the underlying shares.

Can I sell shares while the loan is outstanding? +

Not without our consent. The CSDP flag prevents sale or transfer. If you need to sell, contact us first — we can release specific counters provided the remaining portfolio still covers the loan at the required LTV.

What happens if my portfolio drops in value? +

We monitor the portfolio daily. If it falls to the soft-call level, we make contact. At the hard-call level, you have three business days to top up collateral or reduce the loan. Forced sales only happen after the hard-call window expires and the portfolio has fallen to the liquidation trigger.

Is this a margin loan? +

No. A margin loan is used to buy more shares on leverage. Our facility is a term loan secured by shares you already own — the proceeds can be used for any purpose.

Which instruments do you accept? +

JSE-listed equities, ETFs, unit trusts, RSA government bonds and rated corporate bonds. Offshore holdings, unlisted shares and derivative positions are not accepted as collateral.

How is interest charged? +

Interest is calculated daily on the outstanding balance and debited monthly. The rate is fixed for the term of the loan and disclosed in the facility letter before you sign.

Can I repay early? +

Yes, at any time with no early-settlement penalty. The pledge is released the same day if payment clears before 14:00.

Do you take ownership of my shares? +

No. We take a pledge and cession — not ownership. The shares remain in your name, at your broker, in your account. We cannot vote, sell or transfer them without a trigger event under the facility agreement.

What is the maximum loan term? +

12 months, renewable by mutual agreement. Most clients renew at least once.
